How many members does it take to call an EGM?

We are often asked how many Nominet members does it take to call an EGM?

As of 31st August 2015 there were 2,644 active members.

So you would think 5% of 2,644 = 133 members required for an EGM ?

However it is not that simple with Nominet…

Section 303 (2) (b) of the Companies Act 2006 says:

“in the case of a company not having a share capital, members who represent at least [5%] of the total voting rights of all the members having a right to vote at general meetings”.

Which is 5% of the total 2015 Nominet voting rights here.

The more domain names you have the more votes you get…

The largest registrars are also capped at 3% – see voting rights policy here.

Therefore it would only take two of the following companies to call an EGM (3% club):

For smaller members to call an EGM with around 1300 votes each they have around 0.01%
